KEEPIFY TERMS OF SERVICE

Welcome to Keepify. By accessing our website (www.trykeepify.com) or engaging our services, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.

1. Services Provided

Keepify LLC (“Company”) provides administrative, bookkeeping, and business formation support tailored for independent creators. Our core offerings include:

  • Business Formation: LLC creation and S-Corp election labor.
  • Financial Management: Monthly bookkeeping, revenue verification, and 1099 filings.
  • Compliance Support: BOI (FinCEN) filings, EIN registration, and annual state reports.
  • Privacy Tools: Virtual address setups and registered agent services.

2. Eligibility & Account Security

  • Age: You must be at least 18 years of age to engage Keepify for business formation.
  • Accuracy: You agree to provide accurate, current, and complete information during the onboarding process.
  • Security: You are responsible for maintaining the confidentiality of any login credentials or sensitive data shared with us.

3. Fees and Financial Terms

  • Subscription Tiers: Monthly fees are billed based on your Gross Monthly Revenue (total income).
  • 180-Day "Free Labor" Commitment: Labor for LLC Formation and S-Corp Election is provided at no upfront cost. However, if you terminate your service agreement within the first 180 days, you will be charged a standard labor fee of $199.00 per filing.
  • Third-Party Fees: While Keepify labor may be waived, you are responsible for all mandatory state filing fees and third-party vendor costs.
  • Late Payments: Unpaid balances may incur a 1.5% monthly late fee.

4. Privacy & Discretion

  • Confidentiality: We maintain strict professional confidentiality regarding your industry, income, and personal identity.
  • Banking Access: To verify revenue and perform bookkeeping, you agree to grant Keepify "view-only" access to relevant financial platforms. We will never ask for "transfer" or "withdrawal" authority.
  • Referral Disclosure: We may partner with third-party vendors (banks, mailboxes) and earn referral fees from these relationships. This does not result in additional costs to you.

  • Not Financial Advice: We are not financial advisors or investment planners. Our services are strictly administrative and accounting-based.
  • Client Responsibility: You are solely responsible for all final business, legal, and financial decisions.

6. Termination

  • Month-to-Month: Services operate on a month-to-month basis.
  • Notice: Either party may terminate the relationship with 30 days' written notice.
  • Final Payment: You are responsible for all fees for services performed up to the date of termination.

7. Limitation of Liability & Governing Law

  • Liability Cap: Our total liability is limited to the fees paid by you in the six (6) months prior to any claim.
  • Governing Law: These terms are governed by the laws of the State of Wyoming.
  • Arbitration: Any disputes must be resolved through mandatory binding arbitration in Wyoming.
